About the role
Assist the Company Secretary in the delivery of exceptional company secretarial services, support, and guidance to The Private Infrastructure Development Group Limited (“PIDG”) and other companies in the Group. This includes effective management of legal entities in compliance with applicable legislation, as well as upholding the highest corporate governance standards.
Role and responsibilities:
- Support the Group company Boards and Board committees, providing professional company secretarial services, including agenda planning, report preparation, distribution of meeting packs, minute taking, liaising with Board and Committee members and management of actions.
- Deputise for the Company Secretary where necessary.
- Contribute to the production of the Annual Report and Accounts and the development of the governance section of the Annual Report.
- Maintaining the governance section of the PIDG website.
- Handling and coordinating the statutory compliance of a portfolio of group entities in collaboration with cross-functional teams and external auditors.
- Oversee the maintenance of the statutory books and records and ensure the statutory compliance of legal entities.
- Liaise with external providers of company secretarial services for companies incorporated in foreign jurisdictions (Mauritius, Kenya and Singapore and Morocco).
- Handling ad hoc queries and approvals from the Boards.
- Ensure best practice corporate governance principles are implemented in day-to-day activities.
- Supervising developments in company law and governance; communicating cross-functionally and guiding the business on the implications of changes and standard methodology.
- Lead and support key governance projects, such as the internal governance effectiveness review, the development of a company secretarial procedures manual and external governance reporting.
- Support the development of appropriate policies, corporate secretarial procedures and best practice documents.
- Manage and develop strong relationships with the Non-Executive Directors, Executives and businesses to ensure the effective exchange of information and implementation of policies.
Skills:
- Strong communication skills both verbal and written, with an ability to communicate at all levels.
- In-depth knowledge of relevant legislation and corporate governance standards.
- Good knowledge of company secretarial board portals (Diligent is used inhouse).
- Strong analytical and problem-solving skills.
- Strong literacy, numeracy and IT skills.
- Strong team player.
- Ability to effectively manage high workload and prioritise and manage multiple tasks.
- Good team player with ability to work independently.
- Excellent attention to detail.
Qualifications and education requirements:
- Qualified chartered governance professional.
- Degree
- Experience
- Previous company secretarial, corporate governance and company law experience is essential, ideally gained in financial services, infrastructure, project finance or an international development company at an assistant company secretary or senior assistant company secretary level.
- Previous minute writing experience of lengthy and technical meetings is essential.
