About the role

The Senior Legal Counsel works across all projects in all infrastructure sectors (power, water, transport, etc.) and all Sub-Saharan Africa countries in which InfraCo operates. The Senior Legal Counsel takes responsibility for ensuring that InfraCo adheres to all legal requirements on its projects and investments, provides advice to the Business Development, Asset Management and Investment Management Teams and monitors all applicable legal aspects of projects and investments, identifying risks and ensuring that all proper legal procedures are followed.

The role of Senior Legal Counsel can be divided into the following areas:

Role and responsibilities

Projects and Investments

  • acting as the lead legal counsel on specific projects and investments and liaising with relevant Business Development, Asset Management and Investment Management Teams in relation to projects and investments;
  • working with the Business Development and Investment Management Teams in relation to the legal and commercial structuring of projects;
  • reviewing/negotiating all legal documentation prior to signing (including SHAs, JDAs, loan documentation and services agreements);
  • acting as principal legal contact on documentation to ensure InfraCo’s position is contractually protected;
  • reviewing engagement letters and liaising with external legal counsel (where appropriate);
  • appointing and managing external legal counsel (where appropriate);
  • providing legal support on projects under development and equity disposals, structural reorganisations and other ad hoc projects;
  • managing exits of projects from a legal/risk perspective; and
  • presenting to the wider PIDG group in relation to the transaction structure of projects and investments;

Corporate

  • supporting the Head of Legal Africa and the Global General Counsel on various matters;
  • attending InfraCo’s board meetings from time to time and preparing minutes and resolutions as required;
  • reviewing ongoing legal training (including reviewing training materials, presenting individually and providing support to Head of Legal Africa when they are presenting);
  • providing support, guidance and supervision to Managing Counsel, Legal Counsel and Associate Legal Counsel;
  • building, managing and maintaining strong working relationships with stakeholders within PIDG; and
  • acting as a line manger to Managing Counsel, Legal Counsel and/or Associate Legal Counsel as prescribed by the Head of Legal Africa and the Global General Counsel and undertaking all HR responsibilities associated with line management.

Qualifications and education requirements

  • J.D. or equivalent law degree.
  • Relevant professional qualifications.
  • Strong academics.

Experience

  • 12+ years of hands-on relevant legal experience.
  • Strong experience in Africa, particularly in emerging markets, including development finance, project finance and M&A.
  • Expertise in infrastructure or related sectors.
  • Significant experience in managing complex transactions.
  • Experience in working on disputes.
  • Proven track record in developing talent and mentoring team members.
