The Managing Counsel supports the Senior Legal Counsel and works across all projects in all infrastructure sectors (including power, water, transport, and related areas) and across all countries in which GuarantCo operates. The Managing Counsel helps ensure that GuarantCo complies with all legal requirements associated with its projects and investments, and provides timely, practical legal advice to the Investment Teams. The role also contributes to identifying legal risks and ensuring that all appropriate legal processes, standards and controls are followed throughout the project and investment lifecycle.

The responsibilities of the Managing Counsel can be grouped into the following key areas:

Role and responsibilities

Projects and Investments

  • Review and comment on local legal and jurisdictional legal advice often in relation to complex, pathfinder transactions with little or no legal precedence.
  • Liaise with external counsel and acting as lead counsel to support transactions, transaction management, reviewing agreements drafted by external counsel, in particular, GuarantCo’s standard guarantees and recourse agreements.
  • Review and/or support the drafting of NDAs, mandate letters, term-sheets, powers of attorneys, grants, consultancy contracts and/or other forms of commercial contract.
  • Assist with and/or draft amendments and waivers to transaction documents.
  • Assist the Investment team with interpretation of legal clauses and solutions for stressed transactions.
  • Acting as principal legal contact on documentation to ensure GuarantCo’s position is contractually protected and policy requirements are adhered to.
  • Managing the conditions precedent process on projects and investments with support from Associate Legal Counsel and/or Paralegal.
  • Reviewing engagement letters and liaising with external legal counsel (where appropriate).
  • Appointing and managing external legal counsel (where appropriate);

Corporate

  • Update and manage internal legal templates.
  • Supporting Head of Legal, GuarantCo and the Global General Counsel on various matters;
  • Reviewing ongoing legal training (including reviewing training slides and presenting individually and providing support to Head of Legal,
  • GuarantCo when they are presenting);
  • Providing support, guidance and supervision to Associate Legal Counsel and/or Paralegal;
  • Building, managing and maintaining working relationships with executives; and
  • Undertaking general ad hoc administrative tasks to support Senior Legal Counsel and the Head of Legal, GuarantCo as needed.

Qualifications and education requirements

  • J.D. or equivalent law degree.
  • Relevant professional qualifications.
  • Strong academics.

Experience

  • Strong hands-on relevant legal experience.
  • Exposure in Africa or Asia, particularly in emerging markets, including development finance, project finance, banking and debt capital markets work.
  • Expertise in infrastructure or related sectors.
  • Proven track record in developing talent, leading a team and mentoring team members.
  • Significant experience in managing complex transactions.
